Interpretation and Definitions

Interpretation


Words with an initial capital letter have meanings defined below. The definitions apply equally whether the terms appear in singular or plural.

Definitions


  • Affiliate means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
  • Country refers to the United Arab Emirates.
  • Company (referred to as “the Company”, “we”, “us”, or “our”) means KESMATY. L.L.C-FZ, including its Affiliates, associates, and related parties, with its principal place of business at Business Center 1, M Floor, The Meydan Hotel, Nad Al Sheba, Dubai, U.A.E.
  • Device means any device capable of accessing the Service, such as a computer, mobile phone, or tablet.
  • Service means the website and related online functionality.
  • Terms and Conditions (the “Terms”) means these terms and conditions that constitute the entire agreement between you and the Company regarding use of the Service.
  • Third-party social media service means any services or content provided by a third party that may be displayed on, or made available through, the Service.
  • Website refers to ExecDubai, accessible at execdubai.com.
  • You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service (as applicable).

These Terms govern your relationship with KESMATY. L.L.C-FZ, a UAE-based consultancy providing business support and facilitation services. By using the Website or engaging our services, you (“Client”) agree to be bound by these Terms as they apply to any services you obtain.

1. Scope of Services and Engagement


1.1 General Services

KESMATY. L.L.C-FZ provides advisory and facilitation services tailored to Client needs. The nature, scope, timeline, and deliverables will be confirmed in formal proposals, pro forma invoices, or written agreements. Services may involve interactions with third-party providers and/or government bodies where required.


1.2 Third-Party Payment Handling

We may, where instructed, process payments to authorities, banks, and other third parties on your behalf as part of service facilitation. Such processing does not give us control over outcomes or decisions made by those third parties.

2. Our Rights and Responsibilities


2.1 Professional Conduct

We will deliver services with reasonable care, skill, and diligence, in line with industry practice and applicable UAE laws.


2.2 Limitation of Liability

We are not liable for indirect, incidental, special, or consequential losses (including loss of business, profit, revenue, or reputation). Our aggregate liability is limited to the fees paid to us for the specific service giving rise to the claim. We are not responsible for matters outside our control, including government timelines or third-party decisions.


2.3 Information Accuracy

We aim to provide clear, current information at the time of engagement, including procedural requirements and indicative timelines. External regulatory changes may occur and are outside our control.


2.4 Third-Party Changes

Any changes in fees, policies, forms, or timelines imposed by third-party providers or authorities after signing will be communicated to you promptly.


2.5 No Liability for Third-Party Changes

We are not responsible for cost/timeline/requirement changes implemented by third parties or authorities after agreement execution.


2.6 KYC Documents and Client Onboarding

To meet AML/CFT obligations, you must provide accurate KYC Documents (e.g., ID, proof of address, corporate records, UBO details, source of funds/wealth, and any other information reasonably required).

KESMATY. L.L.C-FZ may, in its sole discretion, reject an application, terminate an existing relationship, or decline to proceed at any stage if:

  • you fail to provide requested KYC Documents;
  • provided information is incomplete, inaccurate, misleading, or fraudulent;
  • due diligence cannot be satisfactorily completed;
  • you or a related party presents an unacceptable AML/CFT risk;
  • we suspect illegal activity, money laundering, or terrorist financing;
  • acceptance would breach applicable laws/regulations or internal policies; or
  • any other reason consistent with our risk-based approach to AML/CFT compliance.

3. Client’s Rights and Responsibilities


3.1 Compliance

You must comply with applicable UAE laws and regulations and refrain from unlawful or unethical activities while using our services.


3.2 Use of Services

Services are for the Client’s own use and are non-transferable unless we explicitly agree in writing.


3.3 Payment and Documentation

You are responsible for timely payments and for providing complete and accurate documentation as per agreed schedules. Delays may impact delivery timelines.


3.4 Third-Party Terms

Where third-party providers are engaged, you must adhere to their specific terms and policies. We are not responsible for any refusal or failure by a third party to deliver services.


3.5 Right to Information and Indemnification

You are entitled to current information about the subscribed services. You agree to indemnify us for losses arising from changes to third-party terms, fees, or requirements occurring after agreement execution or payment, where such changes are outside our control.

4. Payment Terms


4.1 Advance Payment

Unless otherwise agreed in writing, services require advance payment to allocate resources and commence work.


4.2 Fee Structure

Fees will be as stated in the executed agreement/proposal/pro forma invoice and will be denominated in AED unless otherwise specified.


4.3 Invoicing & Disputes

Invoices are payable within stated terms. Any dispute must be raised in writing without delay. Undisputed amounts remain payable while a dispute is reviewed.


4.4 Adjustments

Fees may be adjusted for scope changes, Client-driven delays, or unforeseen authority-driven modifications. We will notify you in advance of any adjustment.


4.5 Third-Party Fees

You are responsible for third-party charges (e.g., government, attestation, bank fees). We may advance such charges on your behalf; these will be invoiced separately.

5. Deferred Payment Policy


5.1 Eligibility

Deferred payment options may be offered at our discretion and subject to specific free zone/licensing authority rules. Guarantees (e.g., post-dated cheques) may be required and must be approved in writing.


5.2 Request Timeline

A deferral request may be submitted within fifteen (15) days from the due date without penalty. After that, a monthly deferral fee of 10% of the outstanding amount will apply.


5.3 Limitations and Penalties

A maximum of two (2) deferrals are permitted within any 12-month period. Repeated delays or dishonoured cheques may result in suspension and fees (including a returned-cheque fee of AED 300–AED 500, depending on amount).


5.4 Submission Process

Deferral requests must be sent in writing at least seven (7) business days before the due date to accounts@execdubai.com and receivable@execdubai.com.

6. Cancellation and Refunds


6.1 Cancellation by KESMATY. L.L.C-FZ

Failure to pay on time may lead to suspension or termination after notice. Re-activation may require additional fees.


6.2 Cancellation by Client

Submit a written cancellation request to your account manager. Cancellations after service commencement may lead to partial or full forfeiture of paid fees.


6.3 Refunds

If a government authority rejects a service, a partial refund may be processed subject to written confirmation from the authority and after administrative deductions.

Refunds for Client-initiated withdrawal are only possible if the service has not started or been completed. Any third-party or government fees already incurred are non-refundable and will be deducted. Where no separate service fee is defined, we will withhold 15% of the total invoiced amount or AED 1,050 (whichever is higher) as a service fee (covering administration, initial assessment, and resource allocation). We reserve the right to approve or reject any refund request at our discretion and may update this refund policy at any time.


6.4 Withdrawal Before Submission

If you withdraw prior to submission to the relevant authority, a handling fee of 15% of total amounts paid will apply.


6.5 Forfeiture

If you do not fulfil required obligations or proceed with services within two (2) months from initial/full payment, your payment may be forfeited and non-refundable. After forfeiture, we are not obligated to provide further services. Reinstatement may require a new agreement and fresh payment terms. This does not apply in force majeure situations, provided you notify us in writing before the deadline.

7. Exit Policy


7.1 License Cancellation or Transfer

If you request an NOC to deal directly with the licensing authority or another service provider, a fee of AED 5,000 applies.


7.2 Termination of Service Obligations

Once files are transferred to the authority, our obligations cease, and all future dealings occur directly between you and the authority.


7.3 Return of Documents

All original corporate documents issued as part of setup must be returned. Lost or damaged documents may require a police report.


7.4 Outstanding Payments

All pending instalments must be settled prior to license cancellation. Late cancellations after license expiry may incur penalties.

8. Force Majeure


Neither party is liable for delays or failures caused by events beyond reasonable control (including acts of God, natural disasters, war, terrorism, government orders, labour disputes, internet outages). Obligations resume when the force majeure event ends.

9. General Terms


9.1 Notices

Official notices must be delivered in writing to the parties’ designated email or physical address.


9.2 Entire Agreement

These Terms constitute the entire agreement between you and KESMATY. L.L.C-FZ and supersede all prior understandings, written or oral, regarding the Service.


9.3 Assignment

You may not assign or transfer rights or obligations without our prior written consent.

10. Website Terms of Use


10.1 Acceptance

By accessing and using the Website, you accept these Website Terms of Use. If you disagree, do not use the Website.

Continued access or use—including browsing, submitting information, or making payments—constitutes your agreement to be legally bound by these Terms, as amended from time to time.


10.2 Access and Content

The Website is provided for general information and communication. Content does not constitute legal or professional advice and should not be relied upon as such.


10.3 Privacy and Data Protection

We are committed to handling personal data in accordance with applicable law, including UAE Federal Decree-Law No. 45 of 2021 (PDPL). By using the Website or our services, you consent to collection and processing of your personal data for service delivery, user experience improvement, and legal compliance. We will not share personal data with third parties without consent, except where permitted by law or necessary for performance of our obligations. See our Privacy Policy for details.


10.4 Intellectual Property

All Website content (text, graphics, logos, icons, images, audio, software) is owned by KESMATY. L.L.C-FZ or its licensors and is protected by applicable IP laws.

You may: view, download, and print pages for personal, non-commercial use.

You may not: republish for commercial purposes, remove proprietary notices, or use content for unlawful/unauthorized purposes.


10.5 Modifications to the Website

We may suspend, modify, or discontinue the Website (in whole or part) at any time for operational, technical, or legal reasons.


10.6 Accuracy and Liability

We strive for accuracy but do not guarantee completeness, accuracy, or timeliness. We are not liable for direct or indirect losses arising from reliance on Website content.


10.7 Third-Party Links

Links to third-party sites are provided for convenience only. We do not control and are not responsible for their content or availability. Review their terms before use.


10.8 Cookies and Tracking

We use cookies and similar technologies to enhance functionality, analyze traffic, and support personalization and marketing. Essential cookies may be used without prior consent; where required by law, we will request consent for non-essential cookies. You can manage cookies in your browser settings; disabling some cookies may affect Website functionality.


10.9 Viruses and Misuse

We do not warrant the Website is bug- or virus-free. You are responsible for secure internet practices. Do not introduce malicious code or attempt unauthorized access.


10.10 Suspension or Ban

We may restrict or suspend access without notice if we reasonably believe these Terms have been breached or the Website is being misused.


10.11 Changes to Terms

We may revise these Terms at any time. Continued use after changes means you accept the updated Terms.


10.12 Translation

If these Terms are translated, the English version controls.


10.13 U.S. Compliance

You confirm you are not a sanctioned or otherwise prohibited party under U.S. or applicable sanctions regimes.


10.14 Severability and Waiver

If any provision is unenforceable, it shall be modified to reflect the parties’ intent, and the remaining provisions shall remain effective. Failure to enforce a provision is not a waiver.


10.15 Effective Date and Updates

These Terms are effective 19 December 2025 and may be updated at our discretion, effective upon posting on the Website unless stated otherwise. Your continued use constitutes acceptance of changes.


10.16 Modifications to Service

We may modify, suspend, or discontinue any feature, content, or functionality of the Website or services at any time, with or without notice.

11. Estimated Timelines (Indicative Only)


Company Formation

  • License issuance: 5–7 working days
  • Establishment Card & E-Channel: ~4 working days (after license)

New Visa

  • Entry Permit: 3–4 working days
  • Status Change (in-country): 1–2 working days
  • Medical: 3–4 working days
  • Biometrics (ICP discretion): 3–4 working days
  • Visa Stamping: 2–3 working days
  • Emirates ID Delivery: 3–4 working days

Timelines are indicative, subject to authority processing and may change without notice.

12. Governing Law and Jurisdiction


These Terms are governed by the laws of the United Arab Emirates. Any disputes relating to these Terms fall under the exclusive jurisdiction of the courts of Dubai, U.A.E.

13. Dispute Resolution


Before initiating formal proceedings, you agree to attempt an informal resolution by sending a written notice describing the dispute and the relief sought to:

Both parties will use good-faith efforts to resolve the dispute within fourteen (14) days of receipt of such notice.


Exception for Injunctive Relief

Notwithstanding the above, KESMATY. L.L.C-FZ may seek immediate injunctive or equitable relief from any court of competent jurisdiction to prevent or address unauthorized use, misuse, or infringement of its intellectual property or confidential information.
